The Share Consolidation entails the consolidation of the existing IRIS Shares up to a maximum of 815,727,715 Consolidated Shares on the basis of every 4 existing IRIS Shares held by the entitled shareholders, whose names appear in the Record of Depositors of the Company as at 5.00 p.m. on 22 March 2024 ("Entitlement Date"), into 1 Consolidated Share.
The actual number of Consolidated Shares to be issued would depend on the total number of issued shares of the Company on the Entitlement Date.
Any fractional entitlements arising from the Share Consolidation shall be disregarded and/or dealt with by the Board of Directors of the Company in such manner at its absolute discretion as it may deem fit or expedient and in the best interest of the Company.
No suspension will be imposed on the trading of IRIS Shares. The Consolidated Shares will be listed and quoted on the ACE Market of Bursa Malaysia Securities Berhad on 25 March 2024 ("Listing Date"), being the next market day following the Entitlement Date.
The notices of allotment of the Consolidated Shares will be issued and despatched to the entitled shareholders within 4 market days after the Listing Date.
The Share Consolidation will result in a reduction in the number of IRIS Shares available in the market and the trading price of the IRIS Shares will be adjusted accordingly in proportion to the basis of the Share Consolidation.
